1. Acceptance of Terms

By accessing or using BizBuzzHub (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

BizBuzzHub is a software-as-a-service (SaaS) platform that provides local businesses with tools for reviews, bookings, and marketing. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

3. User Accounts

You are responsible for maintaining the security of your account and password. You accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use & Spam Act Compliance

You agree not to use the Service to:

• Violate any laws or regulations, including the Spam Act 2003 (Cth).
• Send unsolicited commercial electronic messages (spam) using our marketing tools.
• Harass, abuse, or harm another person or entity.
• Upload false or misleading reviews (compliance with Australian Consumer Law).

Important: You abide by the requirement to obtain consent from your customers before sending them marketing messages via our platform. We reserve the right to terminate accounts that violate anti-spam laws.

5. Payment and Subscription

• Fees: You agree to pay the subscription fees for your selected plan. Fees are billed in advance.
• Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing period.
• Refunds: Refunds are handled in accordance with Australian Consumer Law. We do not generally offer refunds for "change of mind".

6. Limitation of Liability

To the maximum extent permitted by law (including the Australian Consumer Law):

• The Service is provided "as is" and "as available" without warranties of any kind.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• Our total liability to you for any claim arising out of these Terms is limited to the amount you paid us for the Service in the 12 months preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, or other right or remedy which you may have under the Competition and Consumer Act 2010 (Cth) or other legislation which cannot be excluded ("Non-Excludable Rights").

7. Indemnity

You agree to indemnify and hold harmless BizBuzzHub and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights (including privacy rights of your customers).

8. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
